Have you tried uninstalling your old video card first and set the video to vga 256 collors .Then turn off your computer , replace the old by the new card and restart windows again .
Install video drivers and follow instructions

Ensure that you have the following settings in your system
BIOS setup:
Enable \"Assign IRQ to VGA\"
If possible set video to VGA 16 collor mode
instead of 256 collor mode

The following motherboards were found to have problems
working with the GeForce card. Please contact the
motherboard manufacturer for an update.
Asus P2L97-DS v1.03 (might need motherboard hardware
patch), Gigabyte GA-6BXC rev 1.7, FIC CL31-A, Elite P6LX-
A and Elite P6LX-A+.
viii) FIC motherboard compatibility
There is a known issue with FIC PA2013 motherboard, only
revision 2.1 and above will work with the new graphics
cards.
ix) Gigabyte motherboard compatibility.
If you are using the following motherboards manufactured
by Gigabyte, you might need to set the jumpers to work.
Please consult with the manufacturer manual.

GA -6BXE
GA -6BA
GA -6BXC
Those notes came with my geforce 2 GTS from creative labs ,perhaps they apply to your card too ,but you must read the readme.txt first
