It depends. If you have a legal licence included with an old pc from Dell, and you buy a new pc (Packard Bell) with vista, but want to downgrade, I see no moral issue with making your old xp work with your new system. You've already paid twice for Windows. Promoting piracy is one thing, making stuff you've already paid for to work is another story.
