Software / XP Upgrade Pro to Corp??

Pro, and Corp are identicle.  There is no need to upgrade.  

Corporate versions are the Professional version for companies that need to install Pro on several hundred/thousand machines in which they buy the licenses for that many machines, and use one key to install them all. Otherwise you would be left with the problem of having to activate that many machines....and any changes on a large scale basis could leave some of the machines useless waiting for new activation. Time wasted companies cannot afford to lose.

If the person installed XP Pro on their system as a retail product, they won't have the OEM signature. This only comes from versions installed from corporations such as Gateway, Dell.....etc.

Software / XP-SP2 Activated won't pass verification

SP2 does not require a crack unless the actual version of windows is illegal.  If you purchased the PC with windows installed, then i would contact the place you purchased it, and tell him your having a problem with windows validation, or contact microsoft, which ever you prefer.  If you downloaded, and installed it i suggest you get a valid copy of XP.

Hardware / hard disk problem

SMART is a monitoring tool to check the drive for problems.  
The drive has failed, or will fail very soon.  Replace the drive with a new one is my suggestion.

S.M.A.R.T. stands for Self-Monitoring Analysis and Reporting Technology. S.M.A.R.T. technology was developed by a number of major hard disk drive manufacturers in a concerted effort to increase the reliability of drives. S.M.A.R.T. monitors disk performance, faulty sectors, recalibration, CRC errors, drive spin-up time, drive heads, distance between the heads and the disk platters, drive temperature, and characteristics of the media, motor and servomechanisms. The errors the system can detect can be predicted by a number of methods. Currently the SMART system can detect about 70% of all hard drive errors.

Here's an example: motor and/or bearing failure can be predicted by an increase in the drive spin-up time and the number of retries it takes to get the drive spinning at full speed. Or, if the drive notes that error correction is being needed excessively, it can attribute this to a broken drive head or surface contamination, and it will create an alert before the problem gets worse. Armed with a prediction of failure, the user or system administrator can make a backup copy of key data, replace a suspect device prior to data loss, and avoid undesired downtime.
