problem w/cpu , i think

recently my pc rebooted unexpectedly about every 45 mins
i checked psu voltages with a multimeter and they were stable,i tested the ram with memtest it ran for about 8 hours and didnt find any problems, its not a windows prob cuz i restored a norton ghost backup that worked fine in previous times ive used it,i turned off hyperthreading in the bios hoping it might help and it did there are no reboots anymore but i guess performance is not the same
with h-t off, i think its the cpu what do you think?

mobo : intel d865perl (P15 BIOS)
cpu : P4 2.4C (stock fan)
ram : 2X Kingston 256MB PC3200 CAS3
case cooling : 80mm air out rear,80mm air in front
psu : generic 450w
hd : wd 80gb 8mb ide
optical : lg 52x cdrom,yamaha 20/10/40 cd-rw
